A. Terms and conditions for JAI by ONESIAM Membership

1. agree to the terms and conditions detailed in these JAI by ONESIAM Membership Terms and Conditions and other relevant terms and conditions which apply generally to all members of JAI by ONESIAM. I have also acknowledged the privacy policy, as well as any changes that may occur in the future. The Company will notify significant changes through the Company or Siam Piwat Group's communication channels in advance. Please visit our website and other communication channels from time to time for the latest version of relevant terms and conditions and privacy policy.

2. By applying to JAI by ONESIAM Membership, I understand that I will also become a ONESIAM member. By agreeing to these JAI by ONESIAM Membership Terms and Conditions, I have also read, understood, and agreed to the terms and conditions of ONESIAM membership, which can be accessed via: https://siam.moongate.id/jai-by-one-siam.

3. When applying for the JAI by ONESIAM Membership, I have the right to participate in marketing activities of the JAI by ONESIAM, which shall include but not be limited to communications, offers, public-relations events, news items, sales promotions, direct marketing, or invitations to participate in various activities for the sale of products, services, or events by the Company, Siam Piwat Group, or affiliates, subsidiaries of the Siam Piwat Group (hereinafter cumulatively referred to as the "Siam Piwat Group") and its business partners (the "Business Partners").

4. I acknowledge that membership fee cannot be refunded, transferred, reimbursed, exchanged for cash or other benefits, including but not limited to any other products, services, or event tickets.

5. I hereby agree that the Company may reject my application for the JAI by ONESIAM Membership if the Company deems this appropriate, and shall bear no liability to me.

6. I hereby agree that the membership certificates will be issued digitally to me by the Company or the Business Partners. The membership digital certificate has no cash value and cannot be traded or transferred to another person under any circumstance.

7. I acknowledge that offers from Business Partners are subject to requirements under the separate terms and conditions of each Business Partner. I also agree to be responsible for checking and complying with a Business Partners’ terms, conditions, and privacy policies.

8. To access the membership platform (powered by a third party, Moongate.id), the member must log in by using the username or password or connecting the NFT which will be distributed to the member free of charge. This NFT is equivalent to the username or password, membership card, or member certificate used to enter the membership platform, and cannot be transferred to another member. The Company does not offer any financial or investment products under this membership program, and the free NFT distributed to the member is not a security, cryptocurrency, or investment/financial product.

9. I acknowledge that additional offers for privileges, products, services, and event tickets available on the membership platform are subject to the additional charges, and have separate terms and conditions as described by Siam Piwat Group or the Business Partners.

10. I hereby agree that I am solely responsible for all taxes arising from the purchase of products, services, and event tickets (if applicable).

11. I acknowledge that if I violate the terms and conditions or any applicable policies, the Company and Siam Piwat Group may consider taking any action as they deem appropriate, including the suspension or cancellation of my memberships.

12. I hereby agree that the Company, Siam Piwat Group, and the Business Partners can change the benefits, conditions, and level of participation in marketing activities, as well as the gifts or special privileges provided, without notifying me in advance. In case there is a problem or conflict about these JAI by ONESIAM Membership Terms and Conditions, the Company is the arbiter and the Company's decision is final.

13. I hereby agree that the Company reserves the rights to suspend or revoke my JAI by ONESIAM Membership at its sole discretion. We will notify you of the suspension or the revocation and the reasons. If you believe that your account was suspended or revoked in error, you can submit an appeal to the Company.

14. If the JAI by ONESIAM program is terminated, all unredeemed benefits will be forfeited without the imposition of any obligation, refund, or liability upon the Company, unless otherwise announced by the Company. Upon termination, there shall be no obligation on the Company to offer a replacement program or refund the membership fee. The Company, Siam Piwat Group and the Business Partners reserve the right to determine how to handle any benefits under the JAI by ONESIAM program after the effective date of termination at their sole discretion. This discretion may include refusing to provide any such benefits after the effective date of the termination. The Company, Siam Piwat Group, or the Business Partners may announce other remedy measures following the termination.
    
    For the avoidance of doubt, upon the termination of JAI by ONESIAM program, the rights and obligations for ONESIAM membership or any other memberships or services offered by the Company or Siam Piwat Group to you, which are subject to separate terms and conditions, will not be affected by the termination of JAI by ONESIAM program.

15. The Company reserves the right to adjust or change the business structure, plans, and benefits of JAI by ONESIAM program in the future. If the change will affect you, the Company or Siam Piwat Group will notify you of the change in advance.

16. The Company and Siam Piwat Group are not liable to you or any person in case of:
    a. unauthorized use of the membership, or the username, password, or membership certificate being lost, stolen, or destroyed;
    b. membership or its relevant benefits, privileges, products, or services being provided late or containing problems due to circumstances beyond the control of the Company or Siam Piwat Group;
    c. any loss, defect, or damage which is not caused by the fault of the Company or Siam Piwat Group;
    d. the legality of the transaction occurring between you and the Business Partners; or
    e. any event arising from force majeure (including natural disasters, pandemic, mutant pandemic, quarantine, or government-directed activities).

17. To the extent permitted by applicable laws, the Company, Siam Piwat Group, the Business Partners, principals, directors, employees, contractors, agents, partners, licensors and distributors shall not be liable for any personal injury or incidental or indirect damages arising from or related to JAI by ONESIAM program, including but not limited to damages for loss of profits, loss of data, or any indirect, incidental, special, punitive or consequential damages.
    
    In any event, the total liability of the Company and Siam Piwat Group for any damages or losses incurred to you, whether in contract, warranty, tort (including negligence) or any other causes, shall not exceed the remaining balance of membership fee paid by you, deducting the redeemed privileges, products, services, and event tickets.

18. You hereby agree to indemnify, protect against damages and release the liability of the Company and Siam Piwat Group from all claims, litigations, actions, orders, liabilities and damages of any kind, including all related liabilities, damages, debt settlements, penalties, fines, expenses and costs arising from or in connection with a breach or violation of any terms in these terms and conditions and any other policies referred to herein.

19. In connection with the enforcement of any of the terms and conditions, the Company reserves the right to take appropriate legal action as it deems necessary against members who violate the terms and conditions of JAI by ONESIAM Membership, and the privacy policies, and may recover damages and attorney and litigation fees.

20. These terms and conditions are governed by the laws of the Kingdom of Thailand. Any dispute arising out of or in connection with these terms and conditions shall be prosecuted at a court of competent jurisdiction in Thailand.

21. I represent and warrant that I have read and acknowledged the privacy policy of the Company https://www.jaibyonesiam.com/privacy-policy of which explains the collection, use, disclosure, or cross-border transfer of my personal data, which may be amended from time to time (please read the Company’s privacy policy every time before conducting a transaction with the Company).

22. I represent and warrant to the Company that any data that I have given to the Company, including personal data, is correct, complete, and up-to-date. I will notify the Company if there are any changes to the content of the data given to the Company, so that the Company can continue to serve me and take any action as stated in these JAI by ONESIAM Membership Terms and Conditions.

23. If I have given the personal data of another person to the Company, I certify that
    a. the data subject of this personal data is informed of the potential collection, use, disclosure, or cross-border transfer under these terms and conditions;
    b. I have obtained consent for or I can rely on other legal bases for the collection, use, disclosure, or cross-border transfer of their personal data in compliance with personal data protection laws; and
    c. I am authorized to disclose the personal data of this person to the Company, entitling the Company to collect, use, disclose personal data or transfer it across borders for the same purposes prescribed herein. I will indemnify the Company entirely from fines, loss, or damages occurred to the Company as a result of my violation of any of these representations and warranties.

24. I hereby acknowledge that the Company, Siam Piwat Group or Business Partners may collect record and collect my photos, videos, or audio when I attend an event related to JAI by ONESIAM. The use of my photos, videos, or audio will be governed by the JAI by ONESIAM according to the privacy policy which can be accessed via the link provided above.

B. I acknowledge and accept benefits and conditions of JAI by ONESIAM Membership, as follows.

1. A member of the JAI by ONESIAM will get an access to exclusive benefits, privileges, products, services, experience or events in accordance with conditions prescribed by Siam Piwat Group and the Business Partners.
   ‍
2. All of the benefits (exclusive privileges, products, services, etc.) will be presented in the membership platform. To purchase, book, or access to the benefits, the member shall log in to the membership platform. To redeem the purchased privileges, products, services, and event tickets, the members shall present evidence of the membership or purchase (e.g. a QR code) as described by the Company or Business Partner at the specified venue or channel.

3. Memberships and benefits may not be transferred from one member to another.
   ‍
4. Benefits of the JAI by ONESIAM Membership shall include the following.
   a. Privileges
                   i. Special rates and discount to activities and events held by Siam Piwat Group and its partners.
                   ii. Privileges at Siam Piwat Group's shopping malls, such as lounge access and personal assistant.
                   iii. Other global privileges with Siam Piwat Group's international partners.
           b. Services
                   i. Services on the premises of Siam Piwat Group and its partners.
                   ii. Transportation to certain travel destinations and to Siam Piwat Group's and its partners' events.
                   iii. Access to the fast-track immigration queue at Suvanahabumi Airport.
                   iv. Personal shopping experiences on Siam Piwat Group's premises.
           c. Experiences and events
                   i. Access to events organized on Siam Piwat Group's premises.
                   ii. Early access to events organized by Siam Piwat Group and its partners.
                   iii. Access to private events.
                   iv. Special rates and discounted prices for events or activities held by Siam Piwat Group and its partners.
   The benefits, details, and conditions shall be as provided and prescribed in https://app.moongate.id/benefits, which may be amended or updated from time to time (please read the benefits details and conditions every time before conducting a transaction with the Company).

5. In case of cancellation or termination of the JAI by ONESIAM Membership or the expiration of associated benefits, or the cancellation of the JAI by ONESIAM Membership by the Company, I shall lose the rights to access to the benefits provided under JAI by ONESIAM program immediately.
   ‍
6.   If the membership digital certificate (i.e. NFT) is lost, there shall be a fee for reissuance as determined by the Company from time to time.

C. Membership application conditions

The members are carefully selected through a referral or application process to ensure that the Company maintains the highest standards of membership.

• JAI by ONESIAM Membership:
  -   Membership fee of 160,000 THB / year
  -   The membership fee will be waived if the member spent total purchases of 1,000,000 THB / year

I acknowledge that the membership fee and the waiver conditions could be updated or changed by the Company at its sole discretion.
